Self-Serve Terms & Conditions of Use

These Terms & Conditions of Use (the "Terms") are a legally binding agreement between you (the "Customer", "you" or "your") and EllisJaims Ltd, a company registered in England and Wales under company number 17150623, trading as VarsaAI ("VarsaAI", "we", "us" or "our"), governing your access to and use of the VarsaAI self-serve platform, including VeriCore™ verification, VeriRef™ sentence-level attribution, audit trail, and related AI generation and verification tooling (the "Service").

BY TICKING THE ACCEPTANCE BOX, CLICKING "I AGREE", ENTERING PAYMENT DETAILS, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR Privacy Policy, and, where applicable, our Acceptable Use Policy and Data Processing Agreement, each incorporated into these Terms by reference. If you do not agree, you must not sign up for or use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. These Terms apply to self-serve subscriptions purchased online via varsaai.io. Enterprise customers with a separately negotiated Master Services Agreement or Order Form are governed by that agreement.

1. What You Are Agreeing To

By completing sign-up for the Service, you confirm and agree that:

• You have read and accept these Terms, our Privacy Policy and Acceptable Use Policy;
• You are at least 18 and have capacity to enter into a binding contract, or you are contracting on behalf of a business with authority to do so;
• The information you provide at sign-up is accurate and you will keep it up to date;
• You authorise VarsaAI, via Stripe, to charge your payment method under Section 4;
• You understand AI-generated outputs are subject to Section 11 and you remain responsible for reviewing them;
• You will not use the Service in breach of the Acceptable Use Policy in Section 9;
• These Terms may be updated under Section 14 and continued use constitutes acceptance.

2. Your Plan and Plan Changes

At sign-up you select one of VarsaAI's published self-serve tiers (currently Essential, Advanced and Pro). Plans are not fixed for a minimum term unless expressly stated at checkout. Upgrades take effect immediately with a credit for unused time; downgrades take effect at the start of your next 30-day billing cycle. We may introduce, modify or discontinue Plans with at least 30 days' notice to existing subscribers.

3. Free Trial

New customers who add a payment card and select a Plan receive a 3-day (72-hour) free trial on that Plan. No charge is taken at sign-up. If you do not cancel before the trial ends, your card will be charged the full monthly fee and your subscription becomes active. Trial eligibility may be limited to one trial per customer, company or payment method.

4. How You Are Billed

Once your trial ends, your subscription runs on a rolling 30-day billing cycle — not a calendar month. All payments are processed by Stripe, Inc.; VarsaAI does not store your full card details. Each Plan includes a monthly credit allocation that resets each cycle and does not roll over. Additional credits can be purchased in blocks of 100 at your Plan's per-credit rate and do not expire during your subscription. Displayed prices exclude VAT and applicable taxes. Failed payments may result in retry, suspension, or cancellation.

5. Upgrades and Downgrades

Upgrades take effect immediately, charge the full new-Plan fee, reset your renewal date, and issue an automatic credit for the unused days on your previous Plan (after the new charge is confirmed). Downgrades are scheduled: you keep current Plan access until the end of your paid cycle, then move to the lower tier at the next renewal.

6. Cancellation, Suspension & Termination

You may cancel at any time from your dashboard; you retain access until the end of your paid 30-day cycle. We may suspend or terminate access for breach of these Terms, unpaid fees, security or legal risk, or where required by law or a third-party provider. On termination you may export your content and audit trail for 30 days.

7. Support

Support is provided in accordance with the level included with your Plan and via the channels published at varsaai.io.

8. Data, Privacy & Security

We process Customer Data on your instructions as a data processor where applicable. We do not use your Customer Data to train our own or third-party foundation models. Our third-party AI and infrastructure providers (including Anthropic) act as sub-processors under contractual terms that prohibit training on your data beyond delivering the Service. Our security programme is assessed against ISO 27001 controls.

9. Acceptable Use

You must not use the Service unlawfully, to infringe third-party rights, to generate content that is illegal or abusive, to attempt to reverse-engineer the Service, or in any way prohibited by our Acceptable Use Policy. We may investigate suspected violations and take action including content removal or account termination.

10. Intellectual Property

VarsaAI and its licensors own the Service, including VeriCore™ and VeriRef™. You receive a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription. As between you and VarsaAI, you own the outputs you generate, subject to third-party model rights and the disclaimers in Section 11.

11. AI Output Disclaimer, Warranties & Limitation of Liability

This section limits our liability to you. Please read it carefully. The Service uses generative and probabilistic AI. Outputs — including verification results, sentence-level attributions and audit trails — may be inaccurate or incomplete. To the fullest extent permitted by law, the Service is provided "as is" without implied warranties, and our aggregate liability arising out of or relating to these Terms is limited to the fees you paid to VarsaAI in the 12 months preceding the claim. These limits do not apply to liability that cannot be excluded under applicable law.

12. Service Availability

We aim to keep the Service available but do not guarantee uninterrupted availability. We may modify or discontinue features with at least 14 days' notice where practicable, except for emergency security or legal fixes.

13. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own, and will not disclose it except as needed to perform its obligations or comply with law.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email to your account holder with reasonable advance notice. Continued use after an update takes effect constitutes acceptance.

15. General

These Terms are governed by the laws of England and Wales. If any provision is unenforceable the remainder continues in force. These Terms, together with the Privacy Policy, Acceptable Use Policy and (where applicable) DPA, constitute the entire agreement between you and VarsaAI.
